Terms of Service

1. Acceptance of Terms

By accessing or using the RIDEFIT platform, including our website at ridefitness.co, our mobile application, and related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

2. Description of Service

RIDEFIT provides daily workout programming designed for Adventure and ADV motorcycle riders. The Service includes personalized fitness plans, exercise demonstrations, progress tracking, and related merchandise through our online shop. Workouts are scaled based on your profile, equipment availability, and feedback.

3. Electronic Communications

By creating an account or using the Service, you consent to receive electronic communications from us (e.g., emails, push notifications, in-app messages). You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

4. User Accounts

To access certain features, you must create an account. You are responsible for all activities under your account and for maintaining the confidentiality of your login credentials. You agree to provide accurate, current, and complete information and to update it as necessary. You may not transfer or assign your account to another person.

5. Health & Fitness Disclaimer

The Service provides fitness programming for informational and educational purposes only. RIDEFIT is not a medical provider. You should consult with a qualified healthcare professional before beginning any exercise program, especially if you have pre-existing health conditions or injuries.

You acknowledge that physical exercise carries inherent risks, including the risk of serious injury or death. You voluntarily assume all risks associated with using the workout programming provided through the Service.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU HEREBY RELEASE AND DISCHARGE RIDE FITNESS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS FROM ANY AND ALL CLAIMS, DEMANDS, OR CAUSES OF ACTION ARISING FROM YOUR USE OF THE WORKOUT PROGRAMMING, INCLUDING BUT NOT LIMITED TO CLAIMS FOR PERSONAL INJURY, DEATH, OR PROPERTY DAMAGE.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to any portion of the Service or its systems
• Reproduce, distribute, or publicly display content from the Service without written permission
• Interfere with or disrupt the integrity or performance of the Service
• Use automated tools to scrape, crawl, or extract data from the Service

7. Intellectual Property

All content, features, and functionality of the Service — including text, graphics, logos, videos, exercise demonstrations, workout programming, and software — are owned by Ride Fitness LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute any part of the Service without our prior written consent.

8. User Content

If you submit feedback, suggestions, or other content to us ("User Content"), you grant Ride Fitness LLC a non-exclusive, worldwide, royalty-free, perpetual, and irrevocable license to use, reproduce, modify, and display such User Content in connection with the Service. You represent that you have the right to submit any User Content you provide.

9. Payments, Subscriptions & Refunds

Payments for subscriptions and merchandise are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. All prices are listed in US Dollars unless otherwise stated.

Subscription Auto-Renewal

Your subscription will automatically renew at the end of each billing period (monthly or annually, depending on the plan you selected) at the then-current subscription price, unless you cancel before the renewal date. You authorize us to charge your payment method on file for each renewal period.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at support@ridefitness.co. Cancellation must be completed before the start of the next billing period to avoid being charged. Cancellation takes effect at the end of the current billing period, and you will retain access to the Service until that date. No prorated refunds are provided for partial billing periods.

Merchandise Refunds

Merchandise may be returned for a full refund within 30 days of delivery if the item is unused and in its original packaging. To initiate a return, contact us at support@ridefitness.co. Shipping costs for returns are the responsibility of the customer unless the item was defective or shipped in error.

10. Termination

By Us: We may suspend or terminate your access to the Service at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service will immediately cease.

By You: You may terminate your account at any time by deleting your account through the Service or by contacting us at support@ridefitness.co. Upon termination, your data will be handled in accordance with our Privacy Policy.

Sections 5 (Health & Fitness Disclaimer), 7 (Intellectual Property), 8 (User Content), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Dispute Resolution) survive termination.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

12. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, RIDE FITNESS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED US DOLLARS ($100) OR THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification

You agree to indemnify, defend, and hold harmless Ride Fitness LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any User Content you submit.

14. Dispute Resolution & Arbitration

Informal Resolution: Before filing a formal dispute, you agree to contact us at support@ridefitness.co and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If the dispute is not resolved informally, you and Ride Fitness LLC agree to resolve any claims relating to these Terms or the Service through final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. Arbitration will take place in the State of Oregon. The arbitrator's decision shall be final and enforceable in any court of competent jurisdiction.

Class Action Waiver: YOU AND RIDE FITNESS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court for disputes within the court's jurisdictional limits.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Oregon, without regard to its conflict of law provisions.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. For significant changes, we will provide additional notice (such as an email notification). Your continued use of the Service after changes constitutes acceptance of the revised Terms.

17. General Provisions

• Severability: If any provision of these Terms is held to be unenforceable or invalid, that provision will be modified to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
• Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Ride Fitness LLC regarding the Service.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Force Majeure: We shall not be liable for any failure or delay in performing our obligations where such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power failures, or internet outages.
